Is WoG legal?
Im just wondering, is WoG even legal, since i think its a fan made illegal game modification, (but its good game)
I want to know am i a ''criminal''

It's completely legal since it's just an unprofitable fan-made mod. As far as I remember, you even need the original Shadow of Death do instal WoG. So no, WoG is not illegal.
And even if it was, would it matter?

Well, as far as the law (and my poor knowledge ) is concerned, then indeed WoG is considered illegal. That's because the law, as well as the H3 licence agreement, forbids to "adapt or otherwise modify, create any derivative work, disassemple, decompile..." the software product.
However, there's still the case of what breaking that law really means. Firstly - the WoG Team doesn't cause any harm (that I can think of) to the holder of the rights to the games and doesn't get any benefit (financial, material) from the add-on (and therefore from the copyrighted work of other people).
The WoG Team contacted Ubisoft on an occasion and they are quite aware of the WoG project. They not only didn't forbid us to continue working on it, but also, to a small extent, they were supportive. It doesn't harm them (maybe even it means extra advertisment or a few more copies of H3 sold) and the fact that WoG is free brings an unwrote rule with it ("no profit - no prison").
So the point is:
Nobody's going to put anybody in jail - for creating WoG, not to mention playing it. Besides, if ever Ubisoft said aloud "yes, we alow you to do this" then everything would be OK even as far as the law is concerned. And after all - they didn't forbid .

Since the WoGTeam contacted Ubisoft, and told all the details about WoG,
and Ubi didn't started a lawsuit- it is considered as legal acceptance of WoG.
It's hard to explain it in english for me, but here is an exemple:
If your contract says, that You should pay $1 for 1KWh electricity, and you receive a payment request, stating that 1KWh=$2, and You pay it out,
then it is considered, as offical acceptance of contract modification.
Ubi didn't started a lawsuit within 30 days after discussion, means WoG is legal now.. until change in license (freeware, requires pre-installed H3)

Not exactly.
for things like that there is no '30 day' limit. The example you show comes from a situation when:
a) a legal deal has already been made between the both sides and this is a CHANGE of some specific parts.
-- We do not have any agreement with Ubi, nor did we try to make one.
b) the person DID pay, meaning that he actually acted, he therefore accepted the agreement.
-- Ubi didn't act in any way. Not saying 'no' doesn't mean saying 'yes'. For WoG to be 100% legal, we would need an official agreement from Ubi.
HOWEVER, as far as the information I got from the lawyer that tought me is correct, there have been some court cases in my country when indeed a the holder of the copyrights didn't react for several years, although he was aware that the rights were being violated by a specific person and then he decided to sue him. The court then judged that because the holder of the rights knew and didn't do anything for several years, then it was a form of acceptance.
That however all depends on the specific situation and doesn't make WoG legal "automatically" like you suggest.

if you would have to pay for wog it would be illegal. YES wog is completely legal. Ubisoft knows os wog and what our team has done and are happy with what they have seen.

Good! WoG is fun and weird, since Heroes has become very very expansive, i love the fishing in well thing! But i also love Perpetual Drakness! My favorites are scouting and those others!

WoG is non comercial mod,so its legal as long as the developers of WoG dont take money for it.

And to don't offtop (like You >D) I'll say that imho WOG is illegal,but because it even helps h3 with advertising,they don't put us in jail >D
